1. General Provisions

These Terms and Conditions (hereinafter — the 'Terms') constitute a legally binding agreement between Express Mail Georgia LLC (hereinafter — 'EMG', 'we', 'us', or 'our'), a company registered under the laws of Georgia, and any individual or legal entity (hereinafter — 'User', 'Client', or 'you') who accesses or uses the website emgpost.com (hereinafter — the 'Website') or orders any services provided by EMG.

By accessing the Website, registering an account, placing an order, or using any of EMG's services, you confirm that you have read, understood, and unconditionally agree to be bound by these Terms. If you do not agree, you must immediately cease using the Website and EMG's services.

EMG reserves the right to amend these Terms at any time. Continued use of the Website after such amendments constitutes acceptance of the updated Terms.

2. Services

EMG provides the following services:

International parcel and freight forwarding and delivery
Cargo consolidation
Door-to-door courier delivery
Air and land freight transportation
B2B logistics and e-commerce fulfilment
Customs brokerage assistance
Online shopping assistance (purchasing on behalf of clients)
Parcel tracking

Specific conditions, tariffs, and transit times for each service are published on the Website and may be updated at any time.

3. Ordering and Contract Formation

An order is deemed placed when the User submits a completed order form on the Website or in an EMG office and pays the applicable fee (where required at the time of order). EMG reserves the right to refuse any order at its sole discretion.

A contract for services is formed at the moment EMG confirms acceptance of the order in writing (including by email or through the Website's order management system).

4. Tariffs and Payment

4.1 Tariffs are calculated based on actual or volumetric weight (whichever is greater), destination country, and service type. Current tariffs are published on the Website.

4.2 Payment is made in Georgian Lari (GEL) at the exchange rate of the National Bank of Georgia on the date of payment, unless otherwise agreed in writing.

4.3 Accepted payment methods include: bank transfer, payment card, cash (at EMG offices), and other methods specified on the Website.

4.4 EMG reserves the right to change tariffs at any time. New tariffs apply to orders placed after the date of change.

5. Prohibited Items

The following items are strictly prohibited from shipment by EMG:

Weapons, ammunition, and explosive devices
Narcotic, psychotropic, and controlled substances
Counterfeit goods and items infringing intellectual property rights
Live animals and biological materials (unless expressly permitted)
Perishable goods (unless expressly agreed in advance)
Radioactive and hazardous materials
Currency, negotiable instruments, and valuable documents
Pornographic materials
Any items prohibited by the laws of Georgia or the destination country

EMG reserves the right to open and inspect any shipment it reasonably suspects contains prohibited items. The Client is solely responsible for compliance with applicable export, import, and customs regulations.

6. Declared Value and Liability

6.1 The Client must accurately declare the contents and value of each shipment on the shipping documentation.

6.2 EMG's liability for loss or damage to a shipment is limited to the declared value, but shall not exceed 150 (one hundred fifty) GEL. A shipment is considered damaged only if the integrity of its outer packaging has been compromised.

6.3 EMG shall not be liable for loss of a shipment, absence of its contents, or damage where caused by: (i) the Client's fault or negligence, including improper packaging, or by the properties of the contents; (ii) damage to fragile items not marked as such; (iii) circumstances of force majeure; (iv) a shipment containing items prohibited from being sent; (v) a shipment whose sending is permitted only under special conditions, where those conditions were not met; (vi) the sender acting in bad faith in order to obtain compensation; (vii) consequential, indirect, or special damages; (viii) delay resulting from customs clearance or other force majeure events.

6.4 If the loss, damage, or material delay of a shipment is caused by the fault of a Carrier Partner (i.e., occurring at a stage when the shipment was in the physical custody of a third party engaged by EMG for transportation), EMG:

accepts the Sender's claim as the single point of contact;
initiates an investigation and files a formal claim against the relevant Carrier Partner in its own name;
is liable to the Sender only to the extent, and on the same terms, that EMG itself is entitled to claim compensation from that Carrier Partner under the agreement in force between them, but never exceeding the limits set out in Section 6.2 of these Terms;
does not guarantee that compensation from the Carrier Partner will be obtained within any particular timeframe, and is not liable for the Carrier Partner's refusal, bankruptcy, or insolvency, provided EMG acts in good faith and makes reasonable efforts to settle the claim.

6.5 Claims for loss or damage must be submitted in writing within 14 (fourteen) calendar days from the date of delivery (or expected delivery date in case of non-delivery).

6.6 The sender is materially liable for any loss incurred by EMG as a result of sending a prohibited item or improperly packaging a shipment.

7. Delivery Times

Delivery times published on the Website are estimates only and not guaranteed. EMG shall not be liable for delays caused by customs authorities, carrier operations, weather conditions, strikes, or other force majeure circumstances. Transit times begin from the date of dispatch, not the date of order.

8. Customs and Import Duties

All applicable customs duties, import taxes (including VAT), and fees are the sole responsibility of the recipient/Client, unless otherwise expressly agreed in writing with EMG. EMG shall not be liable for delays or costs arising from customs clearance procedures. Incorrect or incomplete customs declarations provided by the Client may result in additional charges, delays, or confiscation, for which EMG bears no liability.

9. Tracking

EMG provides shipment tracking via the Website. Tracking information is updated in real time to the extent permitted by the carrier and customs systems. EMG does not guarantee uninterrupted tracking data availability.

10. Cancellation and Refunds

10.1 Orders may be cancelled before the shipment is dispatched. Cancellation requests must be submitted in writing to [email protected].

10.2 Refunds, if applicable, are processed within 14 business days. Service fees already incurred (including handling and pick-up fees) are non-refundable.

10.3 No refunds are available for completed shipments.

11. Intellectual Property

All content on the Website — including but not limited to the EMG logo, trade name, slogan 'Others promise — we deliver', website design, texts, graphics, software, and databases — constitutes the exclusive intellectual property of EMG or its licensors and is protected by the laws of Georgia and applicable international intellectual property law.

Users are prohibited from copying, reproducing, distributing, modifying, publicly displaying, or creating derivative works from any content on the Website without EMG's prior written consent. Unauthorised use of EMG's intellectual property may result in civil and/or criminal liability.

12. User Account

12.1 To use certain features, Users must register an account. The User is responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their account.

12.2 EMG reserves the right to suspend or terminate any account that violates these Terms, is associated with fraudulent activity, or poses a security risk.

13. Limitation of Liability

To the maximum extent permitted by applicable law, EMG's total liability to any User arising from or in connection with the provision of services shall not exceed the value of the specific order giving rise to the claim. EMG shall not be liable for indirect, consequential, special, incidental, or punitive damages.

14. Force Majeure

EMG shall not be liable for failure or delay in performance of any obligation under these Terms due to circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of war or terrorism, government actions, pandemics, strikes, or infrastructure failures.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Georgia. Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Tbilisi, Georgia, except where mandatory provisions of EU consumer law apply to EU-based Users.

Before initiating legal proceedings, the parties agree to attempt good-faith negotiation for a period of 30 days.
